<p>Significant issues such as parallel mergers, minority shareholdings, and warehousing were debated vigorously&mdash;and will have to be clarified in the years ahead.</p>
<p>Flaws have appeared in the cooperation between the Commission and NCAs in relation to upward referrals to the Commission with no guarantee of improvement as a result of the soon to be adopted Guidelines on Best Practices for communication between these authorities.</p>

			<content:encoded><![CDATA[<p>The centre of gravity of EU competition law enforcement in the energy sector has shifted from the European Commission towards national competition authorities, which are following the lead set by the Commission over the last couple of years while also setting their own priorities.</p>
<p>The Commission is instead focusing on achieving the internal market for energy by regulatory means, by trying to ensure implementation of the third energy package and by facilitating the convergence of market rules in cooperation with ACER.</p>
<p>Perceived regulatory gaps in the regulation of wholesale energy trade have been addressed with a new transparency regulation, which is supposed to enhance regulatory oversight by imposing far-reaching reporting obligations on undertakings and prohibiting insider trading.</p>

In some cases, this is a necessary price to pay, since regulation has to favor certain industries or production techniques at the expense of others. However, stressing environmental protection should not let us forget that competition is no less important for EU objectives. The internal market has contributed to the European political, economic and social welfare as much as any other policy. Therefore, environmental regulation has to avoid or, at least, reduce the distortion of competition as much as possible. For the same reason, Competition policy cannot take into account environmental goals to the extent that it will not be able to fulfill its own purpose.</p>

<p>This raises issues as the two sets of rules are not necessarily identical and the authorities in charge of applying them do not always pursue the same objectives.</p>
<p>This article proposes criteria helping to distinguish cases in which competition law is likely to be a more or less useful complement to regulation.</p>
<p>As for cases in which competition law may, in principle, be useful, the authors argue for an intervention that accounts for the objectives set by regulation.</p>

<p>The Notice lays down a two-step method&mdash;basic amount adjusted on an individual and legal basis&mdash;and aims at granting a more foreseeable nature to penalties.</p>
<p>But its structured and sometimes stiff provisions generate a risk of soaring sanctions&mdash;hence the hope, in the French antitrust community, that they will be applied with some restraint by the competition authority.</p>

<p>From case law, it appears that the institution is vested with a broad power to reconsider its decisions where the lifting of the original decision would be to the benefit of the addressee.</p>
<p>By contrast, the European Courts have limited the instances in which the Commission would be under an obligation to do so.</p>
<p>Recent cases indicate that the Commission does not appear to go beyond these possibilities/requirements.</p>

			<content:encoded><![CDATA[<p>This Journal recently published an article written by the European Ombudsman about the role played by him in the procedure regarding Intel where a complaint for maladministration had been introduced against the European Commission.</p>
<p>To provide a more general perspective, this article analyses the role played by the ombudsman in competition law proceedings&mdash;including the 35 complaints dealt with by him so far in that context.</p>
<p>From that analysis, it appears that some recent EO decisions have been influential in improving deficiencies in competition proceedings; that EO findings can have an impact on judicial proceedings; and that, along with the Hearing Officer, the EO operates a control that could strengthen the Commission&#8217;s legitimacy in light of the general due process debate.</p>

			<content:encoded><![CDATA[<p>The economic entity doctrine allows the Commission to fine a parent company if its subsidiary has infringed the competition rules. In such cases, the Commission holds the subsidiary and the parent jointly and severally liable. The EU Courts have acknowledged this sanctioning concept as based on an interpretation of the notion of &#8220;undertaking&#8221;. Group companies are deemed to form one unitary undertaking in terms of the competition rules. However, the economic entity doctrine faces increasing criticism. It is argued that being a parent can hardly suffice to establish liability for the infringement of the subsidiary. Also, the rule stating that a 100 % shareholder is presumed to form an economic entity with its subsidiary is seen to conflict with the in dubio pro reo principle. As far as joint and several liability is concerned, practical problems arise with respect to recourse litigation between the corporate entities. The practical significance of the problems is rising. Although the Court of Justice has espoused the economic entity doctrine, there are reports that a Dutch company has recently asked the European Court of Human Rights to rule on whether such a concept is compatible with the presumption of innocence. Moreover, the national Courts struggle with the problem of how to apportion liability between the jointly and severally liable group companies with respect to recourse claims. The General Court has recently tried to establish general principles in that respect in its Siemens/VA Tech judgment which, however, seem to have created further problems.</p>

			<content:encoded><![CDATA[<p>We examine in this note the principles of the application of margin squeeze tests in telecommunications, focusing on three key elements in the application of an imputation test, where economic principles can provide guidance on the appropriate approach: the scope of a margin squeeze test, the form of the margin squeeze test and the appropriate cost concept. The case studies presented, reflecting the approach of different authorities to these three key elements of margin squeeze tests, suggest that there is still some divergence in terms of the reliance on economic principles to guide the approach to the imputation test. The significant growth of broadband markets over the last few years, combined with the emergence of a number of rivals to the incumbent operators, should provide an evidence basis for using economic principles to guide both the scope and the form of the imputation test in the future.</p>

<p>As regards foreign mergers, the control classically follows an economics-based approach centring on unilateral and coordinated effects which also extends to vertical and diagonal merges.</p>
<p>Besides typical factors such as market concentration, market entry, efficiency defence and failing company defence, MOFCOM again made it quite clear, that industrial policy is on the agenda.</p>

			<content:encoded><![CDATA[<p>During the period under review, all prohibitions, most remedies and the majority of interventions have been based on a finding of horizontal&mdash;mainly coordinated but also non coordinated&mdash;effects.</p>
<p>The Commission has provided in-depth assessment of vertical mergers ranging from markets where vertical integration is a structural feature to others where the changing nature of operations makes predictions more difficult.</p>
<p>In a number of cases, the Commission has assessed efficiency gains alleged by parties&mdash;not as a separate element to be offset against potential anticompetitive effects but as part of an integrated analysis of the potential impact of the merger.</p>
<p>The guidelines drafted by the Commission have provided a reliable framework and have been complemented with increasingly sophisticated techniques allowing for a more economic approach to take shape in a way that appears accepted by the European courts.</p>

			<content:encoded><![CDATA[<p>Recidivism is an aggravating circumstance that the Commission has taken into consideration when increasing the basic amount of the fine in more than 40 % of the cartel decisions that it has adopted over the past five years. This article shows that the legal framework and the requirements for a finding of cartel recidivism as well as the principles guiding the determination of a fine increase have now been extensively defined in EU case-law. Some issues, such as the precise time limit after which a prior infringement may no longer be taken into consideration or the GC&#8217;s unlimited jurisdiction to review the rate in the fine increase, remain nonetheless open for debate.</p>

			<content:encoded><![CDATA[<p>In the period covered (15 April to 15 June 2011), the EU courts continued to uphold fines imposed on parent companies for the unlawful conduct of subsidiaries. Other developments included the filing of private enforcement action in the Netherlands against members of the alleged sodium chlorate cartel and the issuance of the Advocate General&#8217;s opinion on possible abusive behaviour by a dominant postal undertaking regarding the market for distribution of advertising materials. The European Commission (&lsquo;Commission&rsquo;) issued a number of merger decisions across various industry sectors. The General Court delivered judgments addressing complex questions of State aid law and the Court of Justice (&lsquo;ECJ&rsquo;) issued its long-awaited preliminary ruling on access to the leniency application file for private parties seeking civil damages in national courts.</p>

			<content:encoded><![CDATA[<p>&lsquo;Object&rsquo; restrictions of competition are conceptually different from &lsquo;hardcore&rsquo; restrictions, even if these two types of restriction overlap to a large extent. If a restriction is &lsquo;by object&rsquo; then any party alleging an infringement need only show the presence of an agreement including such a restriction, and need not give evidence as to its effects. So that party does not need to establish the relevant market, or the degree of market power held by the undertaking concerned. On the other hand a &lsquo;hardcore&rsquo; restriction is one that prevents an agreement from benefiting from a given block exemption, and it is not necessarily an object restriction. The Commission&#8217;s 2010 Guidelines on Vertical Restraints conflate the two concepts, leading to a risk that the lighter burden of proof applicable to object restrictions will be applied in situations where it is not appropriate. In practice in many cases it will be obvious that the hardcore restriction under assessment is also an object restriction, and the distinction is not of practical relevance. However, there will be cases where the distinction is crucial. For example, the Guidelines treat many restrictions imposed on Internet selling and use of websites by distributors, and some territorial and customer exclusivity provisions, as hardcore, and therefore object, restrictions. Some such cases, involving hardcore restrictions which are not object restrictions, should be analysed on the basis of whether or not they have anti-competitive effects.</p>

			<content:encoded><![CDATA[<p>This article surveys the EU Courts&#8217; case law and the Commission&#8217;s decisional practice concerning fines in 2010. In 2010, the Commission has maintained a heavy-handed stance on fines, imposing in particular two individual fines ranking amongst the 10 highest fines in the history of EU cartel enforcement and the fifth highest aggregate fine in an EU cartel case. The Commission has nonetheless taken into account the financial crisis by applying its first reductions for Inability to Pay under the 2006 Fining Guidelines. The Commission has also applied its two first reductions of fines in settlement cases. On the judicial front, the EU Courts have clarified various aspects of the EU fining practice, such as the broad reach of the statute of limitations in the case of repeated infringements, the scope of increases for recidivism and the leeway left to the Commission when it imposes procedural fines.</p>

			<content:encoded><![CDATA[<p>The entry into force of the Lisbon Treaty gives reason to reconsider the compatibility of EU competition law enforcement with the reformed EU primary law in several respects. One aspect is the lawfulness of the Commission&#8217;s quasi-legislative role in the adoption of soft law instruments to clarify fundamental issues of EU competition law enforcement. The Commission is thereby functionally amending EU primary and secondary law, which contradicts the principle of democracy strengthened in the Treaty of Lisbon. Article 290 of the Treaty on the Functioning of the European Union (TFEU) considerably increased the legal requirements for authorizing the Commission to adopt delegated legislation. These requirements cannot be undermined by adopting administrative standards, especially if these are of considerable legal significance.</p>

			<content:encoded><![CDATA[<p>Faced with an impending meltdown of the European financial markets at the end of 2008, the European Commission (&#8220;Commission&#8221;) was swift, in terms of both policy and resources, in responding to those unprecedented challenges. But as the apparent green shoots of recovery emerge, the financial services sector faces a new regulatory framework and the continued rigorous enforcement of EU competition law. Whilst the Commission seeks to reconcile that new regulatory background with its ongoing monitoring of temporary State aid, European Commission antitrust policy is seemingly trying to react (belatedly) to perceived market failures in relation to financial services and ancillary activities. 2010 and the start of 2011 has seen an ongoing refinement of State aid guidelines and their application of the rules to financial institutions across the EU, developments in ongoing antitrust investigations.</p>

			<content:encoded><![CDATA[<p>2010 has been an important year for competition law applicable to distribution agreements. Firstly, a new general regulation on vertical restraints which emphasizes the role of the economic analysis in the assessment of vertical restrictions has been adopted. Despite interesting new developments, the content appears to be insufficient, notably regarding online distribution and resale price maintenance. Secondly, the motor vehicle distribution sector has also been the subject of a reform. As far as vehicle distribution networks are concerned, the new general regulation on vertical restraints will apply from the 1st June 2013. For maintenance, repair services and spare parts sales, two regulations will be jointly applicable. Indeed, the new general regulation on vertical restraints will apply in combination with a new motor vehicles regulation. Therefore, the economic analysis will be favored despite an excessive protection of the distributors.</p>
<p>Meanwhile, debates pertaining to distribution law have been intense before national courts. Among them we can find the classic issue of the justification of the implementation of an exclusive or quantitative selective distribution network. Some decisions are currently anxiously awaited; this is particularly the case in France regarding quantitative selective distribution networks. The national tendency of protecting distributors through contract law also needs to be monitored.</p>

			<content:encoded><![CDATA[<p>This article presents an overview of key competition law developments in the communications and media sector in 2010. Following the EU Commission&#8217;s focus on abusive pricing practices in 2009 (as highlighted in last year&#8217;s survey) 2010 has seen a significant ECJ judgment in the telecoms sector confirming and clarifying the approach to be taken under EU law to margin squeeze, as well as a number of national investigations into the pricing practices of incumbent telecoms and media providers. The Commission has also tested enforcement in relation non price-based exclusionary practices against Apple in relation to its iPhone operating system and after-sales repair services (although the case ultimately settled). In addition, there have been a number of high-profile mergers in this sector in 2010, most notably the Orange/T-Mobile joint venture and News Corporation&#8217;s proposed acquisition of BSkyB.</p>

			<content:encoded><![CDATA[<p>In three recent foreign investment review decisions, the Canadian Minister of Industry has either blocked or sought to impose post-closing sanctions on mergers and acquisitions of Canadian target companies.</p>
<p>These decisions remind antitrust practitioners that, in some countries, foreign investment may be submitted to scrutiny beyond traditional merger control.</p>
<p>This article analyses the situation in Canada, critically assessing the approach used by authorities in their review of foreign investment transactions.</p>
<p>Notwithstanding recent events, the article concludes that Canada remains open for business, with increasingly open policies and ongoing recognition of the importance of encouraging foreign investment.</p>

<p>Much of the focus of the guidance is on the so called &lsquo;de minimis&rsquo; exception where the markets are not regarded as sufficiently important to justify making a reference and where the OFT has developed a very detailed assessment process;</p>
<p>The new guidance also updates and amends the OFT&#8217;s earlier guidance on the situations in which it will consider accepting undertakings in lieu to the CC (particularly in relation to approval of purchasers and up-front buyer obligations).</p>
<p>This article reviews the new guidance and its practical implications for parties.</p>

In the UK under the Enterprise Act 2002 the Parliament has created powers to remedy adverse effects on competition even if they were not created by an unlawful merger or by abusive behaviour of a dominant firm. Recently these provisions were used for ordering the deconcentration of BAA in an effort to improve competition between airports in the UK. In Germany, a vigorous debate is beginning regarding whether similar powers should be conferred upon the German Federal Cartel Office.</p>

In particular, the Turkish merger control regime has been introduced to a new communiqu&eacute; and a draft guideline to interpret ex ante merger review in light of especially the new, only-turnover-based notifiability thresholds. Additionally, abuse of dominance, cartel cases, concerted practices and exchange of sensitive competitive information under Turkish competition law bear significant resemblance to their comparable European counterparts, while retaining their Turkey-specific features.</p>

			<content:encoded><![CDATA[<p>After a brief overview of the rules applicable to access to the documents under the Transparency Regulation (1049/2001), and those applicable to access to the Commission file under competition law, this article analyses the recent case law of the Court of Justice of the EU concerning the application of the Transparency Regulation in competition cases. It argues that there is tension between the recent case law of the General Court and that of the Court of Justice, as the former appears to interpret the exceptions to the right of access to documents strictly while the latter appears to take a more holistic approach and recognises the need to interpret these exceptions so as not to deprive other rules (such as the rules on access to the file in State aid cases, the data protection rules, the Statute of the Court of Justice and the EU Courts&#8217; Rules of Procedure) of their &lsquo;effet utile&rsquo;.</p>

			<content:encoded><![CDATA[<p>The evolution of class actions continues to feature prominently on Europe&#8217;s competition law landscape. At European Union (EU) level, the European Commission (Commission) has supported private enforcement vocally, going as far as drafting legislation to mandate an EU-wide class action mechanism although withdrawing it from the agenda at the last minute. Nonetheless, the Commission is preparing a new round of discussions in order to finalise the ongoing debate on the harmonisation of class action rules in Europe. In the meantime, certain EU Member States such as Italy have implemented their own national class action legislation.</p>

The decision creates a discrepancy with national investigations as that extension is accepted in some countries. It further creates unease for companies taking advice from in-house lawyers, which may compromise their role in ensuring compliance. It raises questions as to why &lsquo;enrolled in-house lawyers&rsquo; should remain subject to ethical and discipline rules applicable to external lawyers as their communications do not benefit from the same protection.</p>

			<content:encoded><![CDATA[<p>During the period covered, the European Commission and Courts have followed their traditional approach in the application of Article 102 TFEU (abuse of dominant position). For instance, they have continued to apply the &lsquo;margin squeeze theory&rsquo; to cases where inputs controlled by dominant firms are essential for downstream competition or must be provided pursuant to regulatory obligations. Some cases may however generate debate. For instance, one judgment reaffirms the appropriateness of a form-based approach, and another raises the difficulty of striking a balance between the interests of IP rightholders and their generic competitors. The increasing use of the commitments procedure, with possible negative consequences for the development of clear precedents and any jurisdictional control, is also to be noted.</p>

			<content:encoded><![CDATA[<p>The liberalisation of European energy markets has culminated in the adoption of the third energy package in 2009, which has led to intense implementation action by member states, national authorities, undertakings and European associations.</p>
<p>Competition rules have been enforced mostly by ways of commitment decisions at European level while, at a national level, authorities investigated cases of market foreclosure, potential collusive behaviour and manipulations in wholesale markets.</p>
<p>On a substantive point, the Commission considers that long term and large scale capacity reservation can amount to an abuse irrespective of the needs of the dominant company. That view is problematic for operators and does not seem compatible with current competition law principles.</p>

			<content:encoded><![CDATA[<p>In this article, we discuss the use by competition and regulatory authorities of vertical separation as a tool to promote competition in industries where a vertically integrated firm owns a monopoly or quasi-monopoly input (e.g. the &lsquo;local loop&rsquo; in telecoms, or the transmission grid in electricity). There are a range of vertical separation options, from the least intrusive (&lsquo;accounting separation&rsquo;), through to the most intrusive (full ownership separation). The case for or against a vertical separation remedy in any particular instance depends on an assessment of a trade-off between the benefits of increased competition, and the economic costs. These costs can include loss of coordination of activities between the separated entities, &lsquo;hold-up problems&rsquo;, and &lsquo;double marginalisation&rsquo;. To illustrate the costs and benefits, we describe the application of accounting and legal separation in the water sector in Great Britain, functional separation for the telecommunications sector in the UK, and ownership separation of an electricity network in Germany.</p>

			<content:encoded><![CDATA[<p>Did you know that the Japan Fair Trade Commission (JFTC) was the first authority in the world which challenged Intel, the largest computer chip manufacturer? In 2005, JFTC issued a cease-and-desist order against the Japanese subsidiary of the company on the ground that it had been foreclosing the market by providing excessive rebate and monetary incentives to Personal Computer Manufactures. The conduct fell under the category of &lsquo;private monopolization&rsquo;, prohibited by Japanese competition law, equivalent to so-called unilateral conduct regulation. Following this, the Korea Fair Trade Commission in 2008 fined Intel Corporation 25 million dollars and in the following year the European Union (EU) fined Intel 1.5 billion dollars, for abusing its dominant position by using a similar method as above. And the US Federal Trade Commission (FTC) this year (2010) reached a settlement with Intel who had allegedly employed exclusionary conduct and thereby violated the FTC Act.</p>
